1. Objet

These Terms and Conditions of Sale (the “Terms of Sale”) define the conditions under which PIYA LLC provides paid access to its application, related services, and training services.

Any subscription to a paid offer implies full and unconditional acceptance of these Terms of Sale.

2. Description du service

PIYA is an online software solution that enables project and construction site tracking, document centralization, information sharing between professionals and clients, and coordination among project stakeholders.

The exact features and offers available to the user depend on the subscribed plan, selected options, and future changes to the service.

3. Subscriptions

The Service is offered through paid subscriptions, with commercial and pricing details available on the Pricing page.

  • Monthly subscription: billed monthly, with no long-term commitment, and automatically renewed at each monthly billing date.
  • Annual subscription: billed upfront for a twelve (12) month period, and automatically renewed at each annual billing date.

Additional options may also be offered, including team member licenses or additional storage capacity, under the conditions displayed at the time of subscription.

4. Payment Terms

Subscription payments are processed through Stripe’s secure payment interface, primarily by credit or debit card.

By confirming the subscription, the user authorizes recurring billing corresponding to the selected plan:

  • monthly billing for the monthly plan;
  • annual billing for the annual plan.

Payments are due in advance for each subscription period.

5. Access to the Service

Access to the Service is activated immediately after payment confirmation, subject to successful processing of the transaction and effective creation of the user account.

In the event of failed billing, payment incident, late payment, or failure to regularize payment, PIYA LLC reserves the right to suspend all or part of access to the Service until the situation is resolved.

6. Termination

Monthly subscription. The user may cancel their subscription at any time. Termination takes effect at the end of the current monthly period. For example, a cancellation made on May 10 will end access to the Service at the end of the current billing period.

Annual subscription. The user may request cancellation of their subscription at any time. Except where the guarantee provided in Section 7 applies, termination takes effect at the end of the current annual period, without early refund.

Termination stops automatic renewal for the following period, without affecting access to the Service until the applicable expiration date.

7. Politique de remboursement

PIYA LLC offers a “satisfied or refunded” commercial guarantee applicable only to annual subscriptions.

  • The request must be made within thirty (30) calendar days from the subscription date.
  • The request must be sent by email to contact@piyamanagement.com.
  • If the above conditions are met, a full refund of the amount paid for the annual subscription will be issued.
  • The refund results in termination of the relevant subscription and revocation of access to the Service.

No refund is provided for monthly subscriptions, as the user may cancel at any time to prevent renewal for the following period.

8. Modification des tarifs

PIYA LLC reserves the right to change its prices at any time.

New prices apply to new subscriptions. If an existing subscription renews at a changed price, the user will be informed before the new price takes effect.

Prices displayed on the Pricing page are exclusive of taxes; VAT or any applicable tax will be added according to the billing country.

9. Plan Changes and Upgrades

The user may request a plan change, subject to the options available in the subscription interface or the terms communicated by support.

As stated on the Pricing page, upgrades may be applied on a prorated basis, while downgrades take effect at the end of the current billing cycle.

10. Training

In addition to its subscriptions, PIYA LLC offers training services presented on the Pricing page. As of the update date of these Terms of Sale, two sessions are offered: PIYA Training and Construction Project Management Training.

PIYA Training covers onboarding, guided setup, understanding the tool’s logic, navigating the tool, understanding roles and responsibilities, and setting up the user environment.

Construction Project Management Training covers methods and project control applied to construction, clear and methodical project structuring, use of key project management processes, activity management, and smoother client and team communication.

11. Commande et validation des formations

The Pricing page states that training requests are made through the contact form by selecting “Training request” and describing the relevant request.

Registration for a training session becomes final only after express confirmation by PIYA LLC, including confirmation of availability, format, schedule, number of participants, and, where applicable, payment.

12. Prix et paiement des formations

Training services are billed per session, based on the prices displayed on the Pricing page, unless a specific quote or commercial agreement applies.

Unless otherwise agreed between the parties, payment is due before the session takes place.

13. Annulation, report et absence

Any request to cancel or reschedule a training session must be sent in writing to contact@piyamanagement.com.

  • If the client cancels more than seven (7) calendar days before the scheduled date, PIYA LLC may offer a rescheduling or, at its discretion, a refund.
  • If cancellation occurs less than seven (7) calendar days before the scheduled date, no refund is due unless otherwise decided by PIYA LLC.
  • Any unreported absence or withdrawal during a session does not entitle the client to a refund.

PIYA LLC reserves the right to reschedule a training session in the event of unavailability, organizational constraint, technical issue, or force majeure. In such case, a rescheduling or equivalent solution will be offered.

14. Materials and Intellectual Property

The materials, documents, templates, content, presentations, and methods provided or made available as part of training services remain the exclusive property of PIYA LLC, unless expressly stated otherwise.

They are provided solely for the internal use of the client or relevant participants. Any reproduction, distribution, adaptation, transmission to third parties, or commercial exploitation, in whole or in part, is prohibited without prior written authorization.

15. Liability

PIYA LLC uses reasonable efforts to ensure the accessibility and proper operation of the Service, without guaranteeing continuous and uninterrupted availability.

PIYA LLC shall not be liable for indirect damages, business losses, data loss, temporary interruptions, technical incompatibilities, or consequences resulting from improper use of the Service.

Training services provided by PIYA LLC are for educational and operational purposes. Unless expressly stated otherwise, they do not constitute legal advice, financial advice, or a guarantee of commercial or technical results.

16. Data

The processing of personal data is described in the Privacy Policy available on the Site.

The user remains responsible for the data, documents, and content they upload, transmit, store, or share through the platform.

17. Droit applicable

These Terms of Sale apply in addition to the Terms of Use. In the event of any conflict between the Terms of Use and these Terms of Sale regarding subscription, payment, termination, refund, or training matters, these Terms of Sale shall prevail.

The governing law and, where applicable, the competent jurisdiction are specified in the contractual documents applicable to the service.
