1. Purpose of these Terms of Use
These Terms of Use (“TOU”) govern access to and use of the website https://piya-web.com, the PIYA application (“the Application”), and related services, published by PIYA LLC.
PIYA is a SaaS solution that helps users—whether professionals or individuals—manage projects, centralize documents, share information, track project progress, collaborate with stakeholders, and use integrated digital assistance features.
These Terms govern use of the platform. Subscription, payment, renewal, termination of paid plans, refund, and training terms are defined in the Terms of Sale, which supplement these Terms and prevail on commercial matters.
2. Acceptance of the Terms
By accessing or using the PIYA website and Application, the user:
- confirms that they have read and accepted these Terms;
- agrees to comply with them, as well as the Privacy Policy and, where applicable, the Terms of Sale;
- acknowledges that access to certain features may require a paid subscription.
Registration or access to paid services requires explicit acceptance of these Terms and, where applicable, the Terms of Sale.
3. Services provided
- Free services: viewing shared projects, read-only progress tracking, and limited access to certain information depending on assigned permissions.
- Paid subscription services: project creation and management, access to collaborative workspaces, uploading and storing documents, photos and messages, integrated chat, notifications, advanced dashboard, and other features depending on the subscribed plan.
- Additional services: add-ons, plan upgrades, training, or related services that may be offered separately.
Automatic renewal
- Paid subscriptions renew automatically according to the selected billing cycle, unless terminated under the conditions set out in the Terms of Sale.
Subscription cancellation
- A paid subscription may be cancelled through the web interface or according to the terms set out in the Terms of Sale.
- Cancellation takes effect at the end of the current subscription period, unless a refund case or contrary provision is stated in the Terms of Sale.
4. Access and registration conditions
- Be at least 18 years old or have authorization from a legal representative where permitted by applicable law.
- Provide accurate, complete, and up-to-date information during registration and throughout use of the service.
- Maintain the confidentiality of login credentials, access methods, and security settings.
The user is responsible for all activity carried out through their account, unless fraudulent access not attributable to their negligence is proven. The user agrees to notify PIYA without delay in the event of unauthorized account use or compromised credentials.
5. Acceptable use policy
- Do not use PIYA for illegal, fraudulent, abusive, or misleading purposes.
- Do not publish, transmit, or store defamatory, violent, hateful, discriminatory, obscene, or unlawful content.
- Do not disrupt the platform, bypass technical restrictions, or attempt to access unauthorized areas.
- Respect the rights of PIYA, other users, and third parties, including intellectual property, confidentiality, and personal data rights.
PIYA LLC reserves the right to suspend or delete any account in the event of a breach of these Terms, the applicable Terms of Sale, or any security or proper-use rule of the service.
6. User content management
- The user retains ownership of the documents, photos, messages, data, files, and content they upload or share through the platform.
- By using the platform, the user grants PIYA LLC a non-exclusive, worldwide, non-transferable license limited to what is necessary to host, back up, process, display, synchronize, and transmit their content as part of operating the service.
- The user represents that they have all necessary rights and authorizations for the content they submit.
The user is solely responsible for the content, documents, data, and information they upload, publish, share, transmit, or make available through PIYA. PIYA acts as a technical intermediary and does not systematically pre-screen user content.
Account deletion and retention
- Where this feature is available, the user may export certain data through the Application.
- Unless otherwise required by law, data associated with a deleted account may be retained for a 90-day retention period before permanent deletion.
Moderation
PIYA may remove, hide, or disable access to any content that is manifestly unlawful, contrary to these Terms, infringes third-party rights, violates the law, or conflicts with the platform’s security and integrity requirements.
7. Artificial intelligence features
Certain PIYA features may integrate artificial intelligence technologies, including services provided by OpenAI or other third-party providers, to assist users with certain tasks, analyses, suggestions, rewrites, structuring, or automations.
- These features are provided as assistance and do not replace human analysis, verification, or decision-making.
- Generated results may be incomplete, inaccurate, unsuitable, or require additional validation.
- The user remains solely responsible for how they use generated results, the decisions made based on them, and the content they choose to include, transmit, or retain.
PIYA LLC does not guarantee the accuracy, completeness, or relevance of results produced by artificial intelligence features.
8. Availability and maintenance
PIYA strives to provide continuous, stable, and secure access to the Website and Application, without guaranteeing permanent availability or the complete absence of errors.
- Interruptions may occur for maintenance, updates, upgrades, security measures, technical operations, or service improvements.
- Incidents outside PIYA’s control may also affect the service, including network outages, third-party provider failures, cyberattacks, force majeure events, or hosting service unavailability.
No SLA (Service Level Agreement) is guaranteed unless expressly accepted by PIYA LLC in a separate contractual commitment.
9. Intellectual property, DMCA and Copyright
- The Application, its code, name, logo, design, structure, interfaces, original content, and databases are protected and remain the exclusive property of PIYA LLC or its licensors.
- Documents and photos uploaded by users remain their property or the property of their rights holders.
- Any third-party resources used by PIYA are used in accordance with their respective licenses.
DMCA / Copyright
Any third party who believes that content infringes their copyright or another intellectual property right may contact contact@piyamanagement.com. PIYA may remove duly reported content and suspend an account in the event of repeated infringement.
10. Liability and indemnification
- Use of the Website, the Application, and the results obtained through PIYA services is under the user’s sole responsibility.
- PIYA is not responsible for users’ decisions, actions, interpretations, or omissions based on information displayed, uploaded, generated, or shared through the platform.
- PIYA is not responsible for data loss, unavailability, or harm resulting from misuse, misconfiguration, unauthorized sharing of access, acts of third parties, or force majeure events.
Indemnification
The user agrees to indemnify PIYA LLC against any claim, damage, cost, expense, or third-party demand resulting from misuse of the service, breach of these Terms, unlawful content, or infringement of third-party rights.
Limitation of liability
To the extent permitted by applicable law, PIYA LLC’s total liability for direct damages is limited to the amount actually paid by the user during the twelve (12) months preceding the event giving rise to the damage, except in cases of fraud, gross negligence, death, or bodily injury where such limitation is not permitted.
11. Personal data
Collected data is processed in accordance with our Privacy Policy.
- Legal bases: performance of the contract, consent where required, legitimate interest for security, fraud prevention, and service improvement.
- Transfers outside the EU: transfers may occur to the United States or other countries depending on the providers used, with appropriate safeguards where required.
- Retention period: data is kept only for as long as necessary for the relevant purposes, subject to legal obligations and retention periods stated in the Privacy Policy.
- User rights: access, rectification, deletion, objection, restriction, portability, and withdrawal of consent where applicable.
- No sale of data: PIYA does not sell users’ personal data.
12. Changes to the Terms
PIYA LLC may modify these Terms at any time, including to reflect legal, regulatory, technical, functional, or commercial changes. The user will be informed by email, notification, or publication of a new version on the Website or Application. Continued use of the service after the changes take effect constitutes acceptance of the new version.
13. Suspension, termination and deletion
- The user may request deletion of their account at any time, subject to any consequences related to an active subscription as defined in the Terms of Sale.
- PIYA may suspend, restrict, or terminate an account, temporarily or permanently, in the event of a breach of these Terms, the Terms of Sale, the law, a security incident, abusive behavior, non-payment, or any use that harms the platform, PIYA, or third parties.
- PIYA may also take any necessary protective measure to preserve the integrity of the service, its users, or its legitimate interests.
- Data associated with a deleted account may be retained for the applicable retention period and then permanently deleted unless otherwise required by law.
14. Electronic evidence and amicable resolution
- Electronic records, logs, timestamps, and technical elements kept by PIYA may be used as evidence to the extent permitted by applicable law.
- Before any legal action, the parties will endeavor to seek a reasonable amicable solution.
- Where relevant and permitted by applicable law, PIYA may propose an alternative dispute resolution method.
15. Governing law and jurisdiction
These Terms are interpreted in accordance with the applicable legal rules as specified in PIYA’s contractual documents, subject to mandatory provisions applicable to consumer users or users residing in certain jurisdictions.
Where a mandatory local rule applies, the user retains the benefit of the protections granted by that regulation.
